Vragen over ZZP en BV

Hi advisors,

 

Sorry voor de Engels. Mijn Nederlands is nog niet goed ;-)

 

It has been a couple of years that I am a co-founder of a BV (together with other 2 colleagues) and almost a year that I am ZZP also. So part of two different companies if I may call them. The BV was dormant and ZZP was the only active one.

 

I would like to buy the shares of the BV and be the only owner of it. I do understand this has to be done via a lawer and a notaris. My concerns are the following:

I was wondering if we can close the BV/deregistering it and then I can open it under the same name. Is it possible in the Netherlands to open a BV under the same name right after this one is closed? 

Regarding the ZZP: once I do own the BV, is it correct to assume I do need to get rid of my ZZP and do employee myself via the BV?

Thanks Joost Rietveldfor your warm welcome and your help. The idea to close the existing BV is to ONLY speed up the things as it seems it takes too much time to get a lawer/notaris to do the transfer of shares. But maybe even for closing we need them. So if that is the case, then better do the transfer of the shares.

I kind of got some experience as a ZZP but the BV world is kind of new to me. So not sure how the arrangement should be done when you are a BV. The aim is to increase the team from one (me) to 3 next year so I am trying to understand how to set the BV up. According to this plan for 2023, any reason to keep the ZZP?

Closing a BV doesn't require a notary or lawyer. The transfer of shares does, so does establishing a new BV... So you need a notary one way or the other.

 

Keeping the zzp company next to the BV is kind of pointless if you are not doing anything as a ZZP once the BV is up and running.

 

There are a whole lot of differences though between a BV and ZZP, the main two being:

1. Personal liability as a ZZP

2. Difference in taxation

 

This is a good place to start.
